1. Introduction

HomeWise provides home improvement, maintenance, and management services, including but not limited to repair services, maintenance planning, contractor coordination, and related consulting services.

We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

5. Fees and Payment

5.1 Pricing

Prices for our Services are subject to change without notice. We reserve the right to determine pricing for our Services. We will make reasonable efforts to keep pricing information published on the website up to date.

5.2 Payment

We accept various forms of payment as specified on our website. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services.

Message and data rates may apply. Please consult your wireless service provider regarding their pricing plans. HomeWise is not responsible for any fees charged by your wireless carrier.

7. User Responsibilities

You agree to provide accurate, current, and complete information about yourself and any properties for which you request services. You agree to update this information promptly if it changes.

7.2 Authorized Access

You agree to ensure that all persons who access the Services through your account are aware of these Terms and comply with them.

• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HOMEWISE DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantees

HOMEWISE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HOMEWISE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless HomeWise, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Wyoming. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. Arbitration

14.1 Agreement to Arbitrate

Any dispute, controversy, or claim arising out of or relating to these Terms, including the formation, interpretation, breach, or termination thereof, shall be resolved by arbitration in accordance with the Rules of the American Arbitration Association then in effect.

14.2 Location and Language

The arbitration will be conducted in English in Sheridan, Wyoming, unless you and HomeWise agree otherwise.

14.3 Award

The arbitrator will render a written award with reasons. The award will be final and binding upon the parties, and it may be entered and enforced in any court of competent jurisdiction.

15. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

16. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

17. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and HomeWise with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services.
